These Terms and Conditions ("Terms") govern your use of AML4YOU's website and digital tools and anti-money laundering compliance services ("Services"). By accessing our website or using our Services, you agree to be bound by these Terms.

AML4YOU provides anti-money laundering compliance services and tools, including:

• Customer Risk Assessment (CRA) and Enhanced Due Diligence (EDD) solutions

• Know Your Customer (KYC) verification services

• Transaction monitoring and analysis

• Regulatory reporting assistance

• Risk assessment and management tools

• Training and compliance advisory services

Our Services are designed for professional use by real estate agents, developers, financial institutions, and other entities subject to EU AML obligations.

3. User Eligibility and Registration

3.1 Eligibility

• You must be at least 18 years old and legally capable of entering contracts

• You must be authorized to bind your organization to these Terms

• You must hold relevant professional licenses where required by law

• Your use must comply with all applicable EU and national AML regulations

3.2 Account Registration

• You must provide accurate, complete, and current information

• You are responsible for maintaining account security and confidentiality

• You must notify us immediately of any unauthorized account access

• One account per organization unless otherwise agreed

4. User Obligations and Restrictions

4.1 Permitted Use

• Use Services solely for legitimate AML compliance purposes

• Comply with all applicable laws and regulations

• Maintain appropriate professional standards and ethics

• Provide accurate information for compliance checks

4.2 Prohibited Activities

• Use Services for money laundering or terrorist financing

• Attempt to circumvent or disable security features

• Access or attempt to access other users' accounts or data

• Use Services to violate any person's privacy or other rights

• Reverse engineer, decompile, or attempt to extract source code

• Resell, redistribute, or provide access to third parties without authorization

5. Data Processing and Privacy

5.1 Data Processing

• Personal data processing is governed by our Privacy Policy

• You consent to processing necessary for Service delivery

• We act as data processor for client data you upload

• You remain data controller for your customer data

5.2 Data Quality and Accuracy

• You warrant that provided data is accurate and lawfully obtained

• You are responsible for ensuring data subjects' rights are respected

• You must have appropriate legal basis for sharing personal data with us

6. Intellectual Property Rights

6.1 Our IP Rights

• All intellectual property in the Services belongs to AML4YOU or our licensors

• You receive a limited, non-exclusive license to use the Services

• No rights are granted beyond what's necessary for using the Services

6.2 Your Content

• You retain ownership of data and content you provide

• You grant us necessary rights to process your content for Service delivery

• You warrant you have rights to all content you provide

7. Service Availability and Modifications

7.1 Service Availability

• We aim for high availability but do not guarantee uninterrupted access

• Scheduled maintenance will be notified in advance where possible

• We reserve the right to modify or discontinue Services with reasonable notice

7.2 Service Updates

• We may update Services to comply with regulatory changes

• Material changes affecting your rights will be communicated in advance

• Continued use after changes constitutes acceptance

8. Payment Terms

8.1 Fees and Billing

• Fees are as specified in your Service Agreement or current pricing

• Payments are due according to agreed billing cycles

• All fees are exclusive of applicable taxes unless stated otherwise

• Late payments may incur interest at 1% per month

8.2 Changes to Fees

• Fee changes require 30 days' written notice

• You may terminate if you disagree with fee increases

• Changes take effect from your next billing cycle

9. Limitation of Liability

9.1 Service Limitations

• Services are provided "as is" without warranties beyond those required by law

• We do not guarantee compliance outcomes or regulatory acceptance

• You remain responsible for your own AML compliance obligations

• Services are tools to assist compliance, not legal advice

9.2 Liability Limits

To the maximum extent permitted by EU law:

• Our total liability is limited to fees paid in the 12 months prior to the claim

• We exclude liability for indirect, consequential, or punitive damages

• Nothing excludes liability for death, personal injury, fraud, or gross negligence

• Statutory consumer rights are not affected

10. Indemnification

You agree to indemnify AML4YOU against claims arising from:

• Your breach of these Terms

• Your violation of applicable laws

• Unauthorized use of your account

• Your infringement of third-party rights

11. Termination

11.1 Termination Rights

• Either party may terminate with 30 days' written notice

• We may terminate immediately for material breach

• We may suspend Services for non-payment or security concerns

11.2 Effect of Termination

• Your access to Services will cease

• We will retain data as required by law and our Privacy Policy

• You remain liable for accrued fees and obligations

• Provisions intended to survive termination will continue in force

12. Regulatory Compliance

12.1 Your Compliance Obligations

• You remain solely responsible for your AML compliance

• You must maintain appropriate internal controls and procedures

• You are responsible for staff training and competence

• You must report suspicious activities to relevant authorities

12.2 Regulatory Changes

• We will make reasonable efforts to adapt Services to regulatory changes

• Significant compliance changes may require Service modifications

• You are responsible for staying informed of regulatory updates

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by Luxembourg law, without regard to conflict of law principles.

13.2 Jurisdiction

The courts of Luxembourg have exclusive jurisdiction over disputes arising from these Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Service Agreement, constitute the entire agreement between parties.

14.2 Amendments

• Terms may only be modified in writing or through website updates

• Material changes will be notified with reasonable advance notice

• Continued use after changes constitutes acceptance

14.3 Severability

If any provision is found invalid, the remainder of the Terms remain in full force and effect.

14.4 Assignment

• You may not assign your rights without our written consent

• We may assign our rights with reasonable notice to you

14.5 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including regulatory changes, technical failures, or acts of government.
